Terms of Service

Effective Date: May 5th, 2025

These Terms of Service (“Terms”) are a binding agreement between you (“Client,” “you,” or “your”) and Digital Overwatch LLC (“Company,” “we,” “us,” or “our”) governing your use of our IT services.

  1. Acceptance of Terms

By using our services, you accept these Terms and agree to comply with them. If you do not agree, do not use our services.

  1. Description of Services

We offer three core IT services:

  • IT Support: Includes network setup, cloud computing, device maintenance, and technical assistance.
  • IT Security: Risk assessments, penetration testing, threat monitoring, and compliance checks.
  • Managed Services: Ongoing support, updates, monitoring, and proactive maintenance of your IT environment.
  1. Service Agreement

All clients will receive a written service agreement outlining the scope, duration, and cost of services. That agreement takes precedence over these Terms in case of conflict.

  1. SMS Terms

We may send SMS/text messages related to service updates, reminders, and urgent alerts.

  • Message frequency varies by service engagement.
  • Message and data rates may apply.

  1. Data Handling

Client data is treated as confidential. We implement strong security practices, but cannot be held liable for breaches due to third-party systems or client-side vulnerabilities.

  1. Disclaimer of Warranties

Services are provided “as-is.” We do not guarantee error-free operation but commit to addressing and resolving issues promptly within the scope of your service agreement.

  1. Limitation of Liability

We are not liable for indirect or consequential damages. Our maximum liability is limited to the amount you paid us in the past 30 days.

  1. Termination

Either party may terminate the service agreement with written notice. Fees for services rendered prior to termination remain payable.

  1. Governing Law

These Terms are governed by the laws of the State of Tennessee. Any disputes will be resolved in a court of competent jurisdiction in that state.
